Terms and Conditions
Terms and Conditions
The following Terms and Conditions govern your access to or use of Legacy Link’s cloud-based application and website, and any related or affiliated application or website, and any products or services contained or offered in connection therewith (altogether, the “App”). The App is owned and operated by Legacy Link, LLC, an Arizona limited liability company with its corporate office located at 9375 E Shea Blvd, Suite 100, Scottsdale, AZ 85260 (collectively referred to as “Legacy Link”).
Nature of Services: Legacy Link provides a platform that connects licensed healthcare professionals — including without limitation dentists, physicians, chiropractors, physical therapists, veterinarians, and other licensed healthcare providers (each, an “Associate”) — with dental, medical, chiropractic, veterinary, physical therapy, and other healthcare practices and clinics (each, a “Client”), for the purpose of exploring and facilitating potential employment opportunities. Legacy Link is not a party to, and does not control the terms of, any employment or engagement relationship that may result between an Associate and a Client. If you use the App as a Client, your use is additionally governed by Legacy Link’s Referral Agreement. If you use the App as an Associate, your use is additionally governed by Legacy Link’s Associate Terms and Conditions. As described more fully in the Entire Agreement section below, these Terms and Conditions do not replace, and are not replaced by, those additional agreements.
By using the App or submitting any information, communication, or content to us in any way, you accept and agree to all these Terms and Conditions, which form a legally binding agreement between you and Legacy Link and/or our affiliated and applicable businesses. In addition to these terms, you hereby agree that you have read, understood, accepted, and agree to our Privacy Policy. As described more fully in the Entire Agreement section below, these Terms and Conditions and our Privacy Policy do not constitute the entire agreement between you and Legacy Link, and, depending on whether you use the App as a Client or an Associate, you will also be bound by our Referral Agreement or our Associate Terms and Conditions, respectively, and may be required to enter into additional agreements specific to a particular engagement.
General Use: The use of the App is your responsibility. We reserve the right to alter or adjust these Terms and Conditions and any agreement, from time to time as deemed necessary, without notification. All adjustments are to be deemed effective immediately unless otherwise noted. Your continued use of and interaction with the App through various mediums, including but not limited to social media posts, browsing, and mobile application devices and advertisements, are deemed to be an understanding, acceptance, and agreement to the updated Terms and Conditions.
Copyright Information: The App and its content may contain proprietary notices and copyright information owned by Legacy Link or others, the terms of which must be observed and followed. To the extent any information, text, articles, data, images, documents, software, or other materials (altogether, “Materials”) within the App are copyrighted by any third party (“Copyright Holder”), title to such copyright will at all times remain with the Copyright Holder. Nothing in the App confers any license of any Copyright Holder’s intellectual property rights, by implication or otherwise. You agree to use the App and the Materials, services, and products on the App only for lawful purposes. Legacy Link may revoke any of the foregoing rights, as well as any access or authorization, at any time for any reason in its sole discretion. If you believe your work has been copied in a way that constitutes copyright infringement, please provide the Copyright Agent below all information required by the Online Copyright Infringement Liability Limitation Act, 17 U.S.C. § 512. For notice of claims of copyright infringement related to the App, the Copyright Agent can be reached as follows:

In addition to the limitations stated above, you are expressly prohibited from using any software or automated means or devices to monitor, download, copy, access, or distribute in whole or in part any contents from the App. An exception is granted to search engines that use such information to gather and display information for the benefit of the App and advertisement on the App.
Confidentiality; Non-Circumvention: All Associate profiles, credentials, licensure information, employment opportunity details, and other non-public information made available to you through the App (collectively, “Confidential Information”) are confidential and, as applicable, proprietary to Legacy Link, the Associate, or the Client to whom the information relates. Your confidentiality obligations under this Section survive the termination of your access to the App.

THE CONTENTS OF THE APP ARE PROVIDED “AS IS,” AND LEGACY LINK MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, OF ANY KIND WITH RESPECT TO THE APP OR ITS CONTENTS. LEGACY LINK DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, COMPLETENESS, AND NON-INFRINGEMENT. B. DISCLAIMER OF ACCURACY. LEGACY LINK IS NOT A CREDENTIALING, LICENSING, VERIFICATION, OR VETTING SERVICE, AND DOES NOT REPRESENT OR WARRANT THAT ANY INFORMATION ACCESSIBLE ON THE APP — INCLUDING ANY ASSOCIATE’S LICENSURE, CREDENTIALS, EDUCATION, OR EMPLOYMENT HISTORY, OR ANY CLIENT’S JOB LISTING — IS ACCURATE, COMPLETE, OR CURRENT. THE APP MAY CONTAIN TYPOGRAPHICAL ERRORS, MISCATALOGUED INFORMATION, OR TECHNICAL INACCURACIES, AND MAY CONTAIN INFORMATION PROVIDED BY THIRD PARTIES FOR WHICH LEGACY LINK MAKES NO REPRESENTATION OR WARRANTY. LEGACY LINK RESERVES THE RIGHT TO CHANGE OR DELETE ITS CONTENT OR ANY PART THEREOF WITHOUT NOTICE. BEFORE RELYING ON ANY CONTENT PROVIDED ON THE APP, INCLUDING IN CONNECTION WITH ANY HIRING OR EMPLOYMENT DECISION, IT IS HIGHLY ENCOURAGED THAT YOU INDEPENDENTLY VERIFY SUCH INFORMATION AND CONSULT YOUR OWN PROFESSIONAL ADVISORS. C. LIMITATION ON LIABILITY. NEITHER LEGACY LINK NOR ANY OF ITS AFFILIATES, MEMBERS, DIRECTORS, EMPLOYEES, OR OTHER REPRESENTATIVES WILL BE LIABLE FOR DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR OPERATION OF THE APP, OR ANY INFORMATION, PRODUCTS, OR SERVICES CONTAINED HEREIN, INCLUDING THE MATERIALS, OR ANY EMPLOYMENT RELATIONSHIP BETWEEN AN ASSOCIATE AND A CLIENT. THIS LIMITATION OF LIABILITY APPLIES TO ALL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, INDIRECT, INCIDENTAL, SPECIAL AND CONSEQUENTIAL DAMAGES, LOSS OF DATA, INCOME, PROFIT OR GOODWILL, LOSS OF OR DAMAGE TO PROPERTY, AND CLAIMS OF THIRD PARTIES. THIS SECTION IS FURTHER SUPPLEMENTED BY THE DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY PROVISIONS SET FORTH IN THE REFERRAL AGREEMENT AND THE ASSOCIATE TERMS AND CONDITIONS, AS APPLICABLE.
Links to Third-Party Sites: Other applications or websites that are accessible through any link on the App are not under the control of Legacy Link. User Input: Unless otherwise provided herein, any communication or feedback with regard to the App or its contents transmitted by a user via electronic mail or otherwise, including any data, questions, or comments about the App itself (as distinct from Confidential Information described above), shall be deemed to be non-confidential, and Legacy Link has no obligation of any kind with respect to such information and is free to reproduce, use, disclose, and distribute the information to others without limitation. Legacy Link is also free to use any ideas, concepts, know-how, or techniques contained in such information for any purpose, including, without limitation, publication on the App and developing, improving, and marketing products. Legacy Link has no obligation to compensate the contributor of such information in any manner. You also agree not to (i) post or transmit through the App any material that contains advertising or any solicitation with respect to products or services without Legacy Link’s prior written consent, or (ii) use the App to advertise or perform any commercial solicitation of users to become subscribers of other online services.
Release: In the event of any dispute between one or more users of the App, including but not limited to third-party visitors or providers of third-party websites or applications linked to the App, you hereby irrevocably release and discharge Legacy Link, its affiliates, officers, employees, agents, licensors, licensees, and any other indemnified parties from all claims, demands, actions, liabilities, costs, and expenses of any kind, whether known or unknown, arising from or related to such dispute. This release is made to the fullest extent permitted by Arizona law.
You specifically waive the protections of any statute, including Section 1542 of the California Civil Code, or any other law that would otherwise limit this release to claims known or suspected at the time of this agreement.
Zero-Tolerance Policy: Legacy Link is committed to maintaining a secure and respectful environment for users. By accessing or using the App, users expressly agree to comply with our zero-tolerance policy against prohibited conduct or content, including any actions or material that is unsafe, illegal, fraudulent, or threatening. Prohibited activities and content include, but are not limited to, the following:
A. Violence and Threats: Any content that depicts, promotes, or incites violence, physical harm, threats, harassment, or bullying is strictly prohibited.
B. Hate Speech and Discrimination: Material that promotes hatred, discrimination, or harm toward individuals or groups based on race, ethnicity, religion, sexual orientation, gender identity, disability, or nationality is not permitted.
C. Dangerous or Illegal Activities: Content promoting or depicting illegal activities, such as drug use, weaponry tutorials, reckless driving, animal abuse, or other unlawful conduct, is expressly forbidden.
D. Sexual Content and Exploitation: Any form of nudity, sexual content, sexually suggestive material involving minors, or other content involving child exploitation will not be tolerated.
E. Graphic or Disturbing Material: Shocking, gory, or excessively graphic content that is disrespectful or sensationalist in nature is prohibited.
F. Fraud and Deceptive Practices: Any content or actions intended to deceive, including fraudulent profiles or listings, misrepresentation of licensure or credentials, or scams, are strictly forbidden.
G. Copyright and Intellectual Property Violations: All users must respect the intellectual property rights of others; unauthorized use of copyrighted or proprietary material is not allowed.
Legacy Link staff rigorously monitor and review flagged content, removing any material that contravenes these guidelines. Violations of these rules will result in immediate and non-negotiable action, which may include content removal, account suspension, or permanent termination without refund. Additionally, any conduct or content that is deemed unsafe, illegal, or threatening will be reported to the appropriate local authorities for further investigation and potential legal action. Users are encouraged to report any violations of these Terms to uphold the integrity and security of our community.
Taxes and Laws: You agree and understand that Legacy Link is not responsible for determining any Associate’s worker classification (including whether an engagement is properly classified as a W-2 employment relationship or a 1099 independent contractor relationship), applicable tax withholding, or what information should or should not be reported to the appropriate tax authority or governing body in connection with any employment relationship between an Associate and a Client. You further understand and agree to abide by all local, state, and federal laws, rules, and regulations applicable to your use of the App. You agree and acknowledge that Legacy Link is not a party to any employment relationship between an Associate and a Client and assumes no liability for any legal or regulatory compliance issues that may arise out of such a relationship. We will lawfully comply with all requests from governmental agencies and investigators should we choose, at our own discretion. Legacy Link does not provide tax or legal advice, and nothing contained in the App should be construed as such. You should always consult with your own accountant or attorney before entering into any employment or engagement relationship.
Arbitration: All claims, disputes, and controversies arising out of or related to this Agreement, including any question regarding its existence, interpretation, performance, validity, or termination, shall first be subject to binding arbitration as the exclusive means of dispute resolution, except for claims seeking injunctive relief or other equitable remedies. Prior to initiating arbitration, the party making a claim (“Claimant”) shall provide the other party (“Respondent”) with written notice of the claim, describing the nature of the dispute and any requested relief. Upon receipt of such notice, the Respondent shall have 60 days from the date of receipt to address or remedy the claim. The notice shall be sent via certified mail to the Respondent’s principal place of business or another address designated by the Respondent. If the parties are unable to resolve the claim within the specified period, the claim shall be submitted to arbitration administered by the American Arbitration Association (AAA) or another mutually agreed-upon arbitration provider, in accordance with the AAA Commercial Arbitration Rules or the rules of the selected provider. This arbitration agreement and any arbitration conducted hereunder shall be governed by and interpreted under the laws of the State of Arizona. The arbitration shall take place in Maricopa County, Arizona, unless otherwise agreed upon by the parties. This Section is consistent with, and does not limit, the arbitration provisions set forth in the Referral Agreement and the Associate Terms and Conditions.
Governing Law and Jurisdiction: Any action, proceeding, dispute, claim, or controversy arising out of or relating to the App or these Terms and Conditions, or any Legacy Link products or services offered on or accessed via the App, shall (i) be governed by Arizona law and controlling U.S. federal law, without application of any choice of law rules, and (ii) be subject to the exclusive jurisdiction of the state and federal courts of Arizona, and you hereby submit to the jurisdiction and venue of said courts.
Force Majeure: Legacy Link shall not be held liable for any delay or failure in performance caused by events beyond its reasonable control, including but not limited to natural disasters, war, government actions, acts of terrorism, labor strikes, internet failures, or technical issues. Legacy Link shall use commercially reasonable efforts to resume performance as soon as possible following any force majeure event.
Indemnification: You agree to defend, indemnify, and hold harmless Legacy Link, its members, officers, directors, employees, agents, affiliates, and representatives from and against all claims, actions, or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from your breach of these Terms and Conditions. This indemnification obligation is in addition to, and not in lieu of, the indemnification obligations set forth in the Referral Agreement and the Associate Terms and Conditions, as applicable.
Assignment: Legacy Link, at its discretion, reserves the right to assign or transfer this Agreement, in whole or in part, to any successor, affiliate, or third party in the event of a merger, sale, acquisition, or other business reorganization, without prior written consent.
Termination: Legacy Link may terminate these Terms and Conditions, and all matters related to them, including the App itself and any or all access to it, at any time without notice. Upon termination, you agree to cease all use of the App. Without limiting the foregoing, Legacy Link has the right to immediately terminate your access to the App, or any portion of it, for any reason, and in particular for any conduct by you or on your account that Legacy Link, in its sole discretion, considers unacceptable or in breach of these Terms and Conditions.
Entire Agreement; Additional Agreements: These Terms and Conditions govern your general use of the App and platform. THEY DO NOT CONSTITUTE THE ENTIRE AGREEMENT BETWEEN YOU AND LEGACY LINK. Our Privacy Policy, and, depending on whether you use the App as a Client or an Associate, our Referral Agreement or our Associate Terms and Conditions, are separate governing documents that also apply to your use of the App, along with any other agreement made available to you through the App. If these Terms and Conditions conflict with one of those other agreements, the other agreement controls as to the subject matter it addresses. Legacy Link may revise these Terms and Conditions at any time by posting the revised version on the App, and your continued use of the App after posting constitutes acceptance of the revision.

Whether we collect some or all of this information often depends on what type of device you are using and its settings.
Sharing of Information: There may be times when communications, profile content, and other user information may be shared by Legacy Link, its affiliates, and third parties. In addition to the above, you acknowledge that any information you provide to us via the App will become accessible to our third-party providers and agents and, where relevant to facilitating a potential employment opportunity, to Associates or Clients, as applicable. 1. *Right to Know/Notice/Access*: You have a right to know or be notified that we will be collecting or have disclosed certain personal information and how that specific information is being used. Under the CCPA, you have a right to request that we disclose to you information about the use, sale, or disclosure of your personal information. Once we have received a formal request, we will disclose to you:
1. The categories of personal information Legacy Link has collected about you.
2. The categories of sources for the personal information Legacy Link has collected about you.
3. The business or commercial purpose for collecting the personal information.
4. The categories of third parties with whom we shared the personal information.
5. The specific pieces of personal information we collected about you.
6. If any personal information was sold or shared,
1. we will disclose the categories in which the personal information was sold or shared; and
2. we will disclose the categories in which the personal information was disclosed.
2. *Right to Opt-Out of Sale or Sharing*: Legacy Link does not sell your personal information and does not share your personal information for cross-context behavioral advertising. Nonetheless, you have a right to instruct Legacy Link and its affiliates not to sell or share your personal information. To submit an Opt-Out request, please submit all information to Legacy Link via the contact methods listed in the Contact Us section of this policy.
3. *Right to Correct*: You have the right under the CCPA and other regulations and laws to correct any inaccuracies regarding your personal information that we have or may have about you. 4. *Right to Delete*: You have a right to request that your personal information be deleted, subject to certain exceptions. Once we have received a formal request to delete, we will delete, and instruct our service providers, contractors, and third parties to delete, your personal information from our records, subject to the exceptions. We may deny the deletion request if retaining such information is necessary for us to:
1. Complete the transaction for which we collected the personal information, provide a good or service that you requested, take actions reasonably anticipated within the context of our ongoing business relationship with you, or otherwise perform our contract with you.
2. Comply with any legal obligation.
3. Detect and monitor for security breaches or events and protect against malicious, deceptive, fraudulent, or illegal activities.
4. Make other internal and lawful uses of that information that are compatible with the context in which you provided it.
5. *Right to Limit Use of Sensitive Personal Information*: You have the right to limit our use and disclosure of your Sensitive Personal Information to that use which is necessary to perform the services reasonably expected by an average consumer, or as otherwise permitted by the CCPA. Legacy Link only uses Sensitive Personal Information (such as a driver’s license number, Social Security number, or precise geolocation) to verify your identity, process payments, facilitate potential employment introductions, and provide the services you request through the App, and does not use Sensitive Personal Information to infer characteristics about you. Because Legacy Link does not use Sensitive Personal Information for any purpose that requires an opt-out under the CCPA, no additional action is required of Legacy Link; however, you may still contact us using the methods below with any questions or concerns.
6. *Right to Non-Discrimination*: You have a right not to be discriminated against for exercising any of your rights under this Policy or any policy.

Only you, or a person registered with the California Secretary of State whom you have authorized to act on your behalf, may make a verifiable consumer request related to your personal information. You may only make a verifiable consumer request for access or data portability twice within a 12-month period. The verifiable consumer request must:
- Provide sufficient information that allows us to reasonably verify you are the person about whom we collected the information, or an authorized representative of that person.
- Describe your request with sufficient detail that allows us to properly understand, evaluate, and respond to it.
Response Timing and Format: We endeavor to respond to a verifiable consumer request within 45 days of its receipt. If we require more time, we will inform you of the reason and the extension period in writing. If you have an account with us and we can communicate through the App, we will deliver our written response to that account. If we are unable to deliver the response through the App or you do not have an account with us, we will deliver our written response by mail or electronically, at your option. Any disclosures we provide will only cover the 12-month period preceding the verifiable consumer request’s receipt. The response we provide will also explain the reasons we cannot comply with a request, if applicable. For data portability requests, we will select a format to provide your personal information that is readily usable and should allow you to transmit the information from one entity to another without hindrance. We do not charge a fee to process or respond to your verifiable consumer request unless it is excessive, repetitive, or manifestly unfounded. If we determine that a request warrants a fee, we will tell you why we made that decision and provide you with a cost estimate before completing your request.
Changes to This Privacy Policy: This Privacy Policy is effective as of \[EFFECTIVE DATE\], and will remain in effect except with respect to any changes in its provisions in the future, which will be in effect immediately after being posted on this page. We reserve the right to update or change our Privacy Policy at any time, and you should check this Privacy Policy periodically for updates. Your continued use of the App after we post any modifications to both the Privacy Policy and this California Privacy Policy will constitute your acknowledgment of the modifications and your consent to abide by and be bound by the modified Privacy Policy and California Privacy Policy. If we make any material changes to this Privacy Policy or the California Privacy Policy, we will notify you either through the email address you have provided us or by placing a prominent notice on the App.
